The DAK Group, Ltd. announced today that it has completed the sale of Integrated Systems Group ("ISG") to Dimension Data Holdings Plc ("DiData"), South Africa's largest information technology company. Under the terms of the agreement, DiData will acquire all of the outstanding shares of ISG in a transaction valued at $70 million.
DiData, a global consulting and network integrator currently operating in thirty-six (36) countries, has recently completed the listing of its shares on the London Stock Exchange with a market capitalization of $8.8 billion. The acquisition of ISG, the largest network integrator in the New York tri-state region, will double the size of DiData's operations in the United States.
Hauppauge, NY-based ISG, which had revenues of approximately $74 million for the fiscal year ended May 31, 2000, will give DiData a strong presence in the New York City and Long Island markets. ISG has approximately 150 employees, more than half of whom have internationally recognized technical certifications. ISG's service offerings include technology-business consultation and implementation, network integration, voice-data-video convergence solutions, network design, telecommunications consulting, project management, network management, remote monitoring, MIS management and outsourcing.
Alan Scharfstein, President of The DAK Group, noted that, "This transaction represents an extraordinary deal for ISG. It provides ISG with a global partner, and a high-end services platform to support future growth."
Robert M. Cagnazzi, President of ISG, explained, "ISG has grown into the top network integration player in the New York region. However, to become an international player, we felt it would require a partnership with a company that has global scope and technical services which Dimension Data offers. While ISG has been approached many times by prospective acquirers, the Dimension Data business model is real and makes for an excellent fit. The ISG team looks forward to being Dimension Data's New York anchor with vastly expanded growth".
ISG will initially operate as Dimension Data ISG for a brief transition period, and thereafter assume the Dimension Data name. ISG will continue to operate as a stand-alone business unit under its current management team, but will coordinate closely with DiData's existing US operations.

The combined company has already achieved Cisco Gold Partner Certification in the US, the fifth continent on which DiData holds Cisco Gold Certification. DiData's recent successful offering on the London Stock Exchange should provide access to capital and we expect to see them aggressively expand throughout the US."
The terms of the transactions were not disclosed.
