Laserpoint was one of the worlds leading developers and marketers of software for the packaging industry. Its largest competitor was Kongsberg Systems, a Norwegian Company with a growing worldwide market presence. Laserpoint initially retained DAK to evaluate and advise on an acquisition proposal made by Kongsberg. After assessing the strategic fit and evaluating the price and terms of the offer, we advised Laserpoint to reject the proposal and counter with a proposal to buy Kongsberg.
The synergies were compelling, but the size and multinational scope of the transaction presented significant challenges. The transaction would require complex financing, and would involve significant obstacles including corporate culture integration, European labor unions, conflicting products, and a complex distribution network.
DAK arranged a "win-win" transaction by identifying and negotiating with Glenwood Capital a Silicon Valley based venture capital firm, to fund the buyout and simultaneous merger of the two companies at valuations well in excess of initial expectations. The transaction resulted in the creation of ARTIOS Corporation, the worlds premier packaging designer, developer and marketer.
