ESC – Environmental Systems Corp. has been acquired by Fidelity Building Services Group

Environmental Systems Corporation, headquartered in West Hartford, Connecticut has a rich 50+ year history as a building automation integrator that has grown into a complement of energy solution-based offerings delivering savings and greenhouse gas reductions to a marquee client roster. ESC has been acquired by Fidelity Building Services Group.

DAK created a competitive process by leveraging ESC’s deep expertise and relationships, identifying a number of potential, high-quality financial and strategic acquirers. VCI – Emergency Vehicle Specialists recapitalized by Tightrope Capital & NewSpring Capital

VCI is the preeminent full lifecycle sales and service provider of emergency ambulance solutions to first aid squads, EMS organizations, fire departments, hospital organizations, municipalities, and private medical transport companies in the Mid-Atlantic Region. VCI was recapitalized by private equity firms Tightrope Capital Partners and NewSpring Capital.

DAK led a competitive, sell-side process for VCI, generating multiple offers from a wide range of strategic buyers and financial sponsors. By positioning the combination of VCI’s market leadership position, comprehensive services offering, strong manufacturer relationships, and robust backlog, DAK achieved an outstanding outcome for the company’s shareholders.

The acquisition provides the shareholders of VCI an opportunity to accelerate its growth strategy by expanding its core ambulance business, building out the value-added segments of conversions and remounts, implementing operational improvements, and pursuing acquisitions with the help of its new partners. Tightrope and NewSpring have an opportunity to leverage VCI’s strong management team and operating platform to build a multi-regional player in emergency ambulance solutions.

DAK Advises Howard L. Zimmerman Architects & Engineers on Investment from Milrose Consultants

Howard L. Zimmerman Architects & Engineers is a full-service architectural firm specializing in interior and exterior restoration, preservation, and alteration of existing buildings in the New York City Region for the past 40 years.
DAK managed the sell-side process negotiating the best terms for HLZAE. Milrose Consultants were attracted to the exceptional reputation and high-quality work HLAZE is known for, as well as the service offerings that compliment their own.

This acquisition gives the owners of HLZAE the opportunity to monetize the business they have built. Combining these companies will help leverage each other’s capabilities and geographic reach to better serve their clients.

FinTech Leader Koger’s Assets sold to HWM

Koger, an NJ-based global financial services software company providing investor services and regulatory solutions to fund administrators, had its assets acquired by Ireland-based HWM Group, a Portfolio Company of Lovell Minnick.
DAK led a competitive, sell-side process for Koger, garnering several offers in a challenging market environment. DAK positioned Koger to highlight its key value drivers: market leadership in the fund administration software industry, comprehensive solutions suite, blue chip customer relationships, and strong recurring revenue. These value drivers were highly complementary and accretive to HWM’s growth strategy.

The combination allows HWM to accelerate innovation and gain greater economies of scope and service within their software offerings to better serve its clients.

West Essex Building Supply has been acquired by Jaeger Lumber

West Essex Building Supply Co., a full-service distributor of building materials and supplies for residential contractors and do it yourself homeowners, has been acquired by Jaeger Lumber, a provider of lumber and building products with 7 locations in NJ.

DAK led a competitive sell-side process for West Essex, garnering several offers. DAK positioned West Essex to highlight their key value drivers: strong, long term customer relationships, diversified product selection at multiple price points, experienced workforce, and a strategic Northern NJ location. These key characteristics were particularly attractive to Jaeger Lumber.

This acquisition gives the owners of West Essex the opportunity to monetize their lifelong efforts. The combination allows Jaeger Lumber expand its northern NJ presence, take advantage of greater purchasing power and broaden its product offerings.

VCA has sold substantially all of its assets to a wholly-owned subsidiary of Yorktel

Video Corporation of America (VCA), a second-generation provider of integrated ProAV solutions was acquired by York Telecom Corporation (Yorktel) through a strategic Section 363 sale.

Leveraging its deep industry knowledge and relationships, DAK ran a marketing process that resulted in Yorktel being selected as the stalking horse and ultimately the successful bidder in a Section 363 sale. Yorktel, through a newly formed, wholly-owned subsidiary York-VCA, LLC, purchased substantially all of VCA’s assets. Working closely with VCA, DAK ensured the continuation of a business that had experienced a downturn by identifying the underlying value of the business, while making a strategic decision to run the sale through a Chapter 11 filing.

With limited customer overlap, VCA’s extensive experience in audio-video systems integration will enhance Yorktel’s existing capabilities that include engineering, fabrication, field resources, digital signage and help desk support. VCA’s customers will in-turn benefit from Yorktel’s broad suite of services including managed conferencing solutions, digital workplace transformation initiatives and communication/collaboration solutions.

Herman ProAV has been acquired by ADI Global Distribution

Herman ProAV, a second-generation provider of value-add supply chain solutions to the ProAV industry, was acquired by ADI Global Distribution, a unit of publicly traded Resideo Technologies (NYSE: REZI).

DAK initiated and managed the divestiture process that yielded several credible offers. By leveraging Herman’s core ProAV distribution business, DAK successfully positioned Herman as a differentiated provider of supply chain solutions and subcontracting services to its ProAV customers. Herman’s unique model resonated with ADI Global.

The acquisition of Herman further establishes ADI Global’s presence in the ProAV market while providing it with deep industry experience and subcontracting solutions. Herman’s differentiated model is expected to create long-term value to ADI Global and its customers by offering unparalleled opportunities to grow, while making ADI Global into an indispensable partner to its customers.

Diversified Systems has received an investment from Tailwind Capital

Diversified Systems, a leading global technology integrator delivering innovative digital media voice, video and data collaboration solutions, received a significant equity investment from Tailwind Capital, a leading NY-based private equity firm.

Leveraging its deep sector knowledge and relationships, DAK led a global search process to identify a well-capitalized partner that could unlock Diversified’s long-term potential while providing both liquidity to shareholders and the commitment to fund a significant expansion of Diversified’s services and footprint.

Diversified Systems has acquired The Systems Group

Diversified Systems, a leading global technology integrator delivering innovative digital media, voice, video and data collaboration solutions, acquired The Systems Group, an internationally recognized integrator of broadcast technologies and solutions.

Leveraging its deep ProAV sector expertise, DAK served as exclusive buy-side advisor to Diversified Systems, leading the negotiation, due diligence and ultimate closing of the transaction.

The acquisition of The Systems Group enabled Diversified to expand the scope of its broadcast services by leveraging TSG’s deep knowledge and relationships. Diversified immediately benefited from TSG’s design, attention to detail and customer loyalty while providing its collective client base with the resources to build focused broadcast solutions, of any complexity and scale, across the globe.

American Van Equipment, Inc. has been acquired by Safe Fleet Holdings, LLC

American Van is one of the largest manufacturers of branded van and truck up-fit equipment, including manufacturing and distributing shelving, storage systems and accessories, as well as high-quality components to improve productivity. The Company created a multichannel sales and marketing approach and a robust online presence to foster customer loyalty and provide market visibility.

DAK was initially engaged by American Van to evaluate an offer they had received from a buyer. DAK concluded the offer did not reflect the full market value and was asked to conduct a full sell-side process. DAK highlighted the unique and highly profitable direct to end-user marketing approach, resulting in multiple offers for the company.

Representing a tremendous growth opportunity, American Van was sold to Safe Fleet, a leading global provider of safety and productivity solutions for fleet vehicles. The product fit, customer reach, and up-fitter capabilities American Van brought to Safe Fleet Work Truck were game-changing for Safe Fleet. The acquisition solidified Safe Fleet’s position within the Work Truck industry as the preeminent provider of safety and productivity solutions.

ImpaxSelling.com has been acquired by SmartForce (NASDAQ: SMTF)

DAK advised ImpaxSelling.com during its sale to SmartForce. DAK positioned Impax to highlight its impressive base of Fortune 500 clients, their proprietary training process and their state-of-the-art web-based training programs.

This acquisition allowed for SmartForce to expand their e-learning programs and offerings.

Kevah Konner, Inc. has been acquired by Student Transportation of America, Inc. (TSX: STB)

Kevah Konner, Inc. is a leading regional provider of school bus services to public and private schools in Northern New Jersey that was acquired by Student Transportation of America, Inc., the third-largest provider of school bus transportation services in North America.

DAK advised Kevah Konner, Inc. on the strategic sale of the privately held business. DAK positioned Kevah Konner to portray some of the company’s best characteristics including strong customer relationships that lead to above-average contract renewal rates, their high quality, young fleet of buses and their superior regional reputation in Northern NJ.

This acquisition was highly strategic for STA and further strengthens its presence in Northern New Jersey school bus transportation market.

LGI Network, Inc. has been acquired by NPD Group

LGI

LGI Network, Inc., the leading provider of retail measurement services to the U.S. watch and jewelry industry, has been acquired by NPD Group, a leading market research company, tracks sales of fashion watches and other accessories through its consumer and retail tracking services.

During the sales process, DAK highlighted LGI’s core competencies to attract the ideal buyer. Their trademark services that provide highly detailed sales information, extensive client base and exceptional management team were the key traits that appealed to NPD.

This transaction combined LGI’s strong management team and market leadership position in watch and jewelry measurement with NPD’s broad and diversified platform. It also allowed for LGI Network to add services and further expand their customer base.

ARC Research Company has been acquired by ARC of PA, a subsidiary of Research America, Inc.
